Terms and Conditions

Welcome to Kadernani Consultants ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our consultancy services, website, and related offerings.

By engaging our services or using our website, you ("Client," "you," or "your") acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with these Terms, you should not engage our services or use our website.

2. Scope of Services

We provide a range of corporate consultancy and advisory services, including but not limited to:

  • Corporate structuring and incorporation

  • Corporate governance advisory

  • Regulatory compliance (including AML, ESR, VAT)

  • Corporate documentation drafting

  • Business advisory

  • Government and regulatory liaison services

  • Licensing and regulatory approvals

  • Corporate secretarial services

The scope of services for each client engagement will be defined in a separate written Engagement Letter or Service Agreement, which will form an integral part of the contractual relationship.

 

3. Client Obligations

  • The Client agrees to provide accurate, complete, and timely information necessary for us to perform the services.

  • The Client shall notify us of any material changes that may affect the services being provided.

  • The Client acknowledges that the success of services depends on full cooperation and timely responses.

  • The Client shall ensure that any third-party approvals, documents, or consents are obtained where necessary.

 

4. Fees and Payment

  • Fees for services shall be agreed upon in writing via Engagement Letter or invoice.

  • All fees are payable in accordance with the payment terms specified in the invoice or agreement.

  • Government fees, third-party fees, disbursements, and out-of-pocket expenses will be charged separately unless otherwise agreed.

  • Late payments may result in a suspension of services and may attract interest charges at [insert rate, e.g., 1.5% per month] on the outstanding amount.

 

5. Refunds

Our services are governed by our separate Refund Policy [Insert Link if online] or as attached to the Engagement Letter.
In summary, fees paid for services already commenced or completed are generally non-refundable, except as expressly stated in our Refund Policy.

 

6. Confidentiality

  • We undertake to treat all information received from the Client as strictly confidential.

  • This confidentiality obligation does not apply to information that is public knowledge or required to be disclosed by law or competent authority.

  • We shall take all reasonable precautions to protect the confidentiality of Client information.

 

7. Data Protection

We process personal data in accordance with applicable UAE data protection laws, including Federal Decree-Law No. 45 of 2021.
Please refer to our Privacy Policy for further details on how we collect, use, and protect personal data.

 

8. Intellectual Property

  • All templates, drafts, reports, and documents created by us remain our intellectual property unless expressly assigned in writing.

  • The Client is granted a non-exclusive, non-transferable license to use the deliverables solely for their intended purpose.

 

9. Limitation of Liability

  • Our liability for any claim arising out of the services provided shall be limited to the amount of fees actually received by us for the specific engagement.

  • We shall not be liable for indirect, consequential, incidental, or punitive damages.

  • We shall not be liable for delays or failures caused by factors beyond our control, including government actions, regulatory delays, or force majeure events.

 

10. Termination

  • Either party may terminate the engagement upon written notice, subject to any agreed minimum terms in the Engagement Letter.

  • Upon termination, the Client remains liable for all fees incurred up to the date of termination and any unrecoverable costs.

  • We reserve the right to suspend or terminate services if the Client breaches these Terms or applicable laws.

 

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.

 

12. Amendments

We reserve the right to update or amend these Terms from time to time.
The latest version will be published on our website and/or provided with client engagement documents.

Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much, much more.
